  • NFT Authentication Systems: Non-fungible tokens (NFTs) issued by Chronara AI that serve as gated authentication mechanisms to access specific features or services on the Chronara AI platform.
  • Personal Information: Any data related to a person that can be used to uniquely identify or contact a single person.

4. Project Description and Company Identity

Chronara AI aims to create a cutting-edge AI service platform powered by a blockchain ecosystem, accessible via its native CHR token and secured through gated NFT authentication systems. The platform offers advanced AI-driven solutions, including data analytics, automation, and personalized services, which users can access by holding or spending CHR tokens. The NFT authentication systems provide exclusive access to premium features, high-performance AI tools, or restricted areas of the platform, verified through ownership of Chronara AI-issued NFTs. These NFTs serve as secure, blockchain-based credentials, enhancing user privacy and platform security.

The project envisions seamless integration with global markets, enabling businesses and individuals to leverage AI technology through a tokenized ecosystem. Chronara AI is committed to establishing a leading AI tech presence in the Dubai Silicon Oasis free zone post-Stage 1 token sale.

The Chronara AI project is developed and managed by Chronara AI Technology FZCO, a company incorporated under the laws of the Dubai Silicon Oasis Authority (DSOA) free zone, Dubai, UAE.

5. Eligibility

To access and use the Chronara AI platform, participate in the CHR token sale, or engage with the NFT authentication systems, you must be at least 18 years old. By engaging with our services through https://chronara.ai, transacting with the CHR token, or holding Chronara AI NFTs, you represent and warrant that you meet the legal age requirement in your jurisdiction and are not located in a sanctioned jurisdiction as defined by UAE AML/CFT laws or international sanctions lists (e.g., UN, OFAC).

Chronara AI is committed to not marketing its services to minors. 6. Prohibited Activities

  • Inappropriate Content: Avoid transmitting or sharing content that is offensive, harmful, constitutes bullying, or infringes upon the rights of others.
  • Market Manipulation: Engaging in manipulative trading practices, such as pump-and-dump schemes or actions that could damage the integrity or reputation of the CHR token, Chronara AI NFTs, or their community, is strictly forbidden.
  • Malware Distribution: Do not participate in activities that could distribute malware to the website, platform, or its users. Use reliable antivirus software and ensure you are accessing the correct website (https://chronara.ai).

Your adherence to these guidelines is essential to maintaining a safe and trustworthy environment for all users of the Chronara AI platform.

7. Intellectual Property Rights

a. License Grant: By accessing https://chronara.ai, you are provided with a limited, non-sublicensable license to use our services, the CHR token, and the NFT authentication systems, subject to the terms and conditions set forth herein.

b. Protection of Intellectual Property: You acknowledge that all content and media on the Chronara AI platform, including logos, trademarks, AI algorithms, NFT designs, and text, are protected under UAE and international intellectual property laws. You are not granted any rights or licenses to use, reproduce, or exploit these intellectual properties beyond what is permitted under these terms, including the use of NFTs for authentication purposes.

c. Restrictions on Alterations: You are not permitted to modify, alter, or create derivative works based on our products, services, NFTs, or associated intellectual property without our express written consent.

d. Financial Gains and Promotion: You agree not to seek financial gain from distributing, sharing, or promoting our services, CHR tokens, or NFTs without a formal written agreement with us. Suggestions, feedback, endorsements, or promotion of our tokens, NFTs, or services on social media or external websites are deemed voluntary, and you shall not be entitled to compensation or claim ownership rights for such contributions.

8. Cryptocurrency and NFT Risks

a. Investment Risk: Engaging in cryptocurrency or NFT investments, including transactions with CHR tokens or Chronara AI NFTs, involves inherent risks. The value of CHR tokens and NFTs may be highly volatile, and there is a possibility of significant loss, up to the total amount invested. Chronara AI does not offer investment advice, and you bear full responsibility for your investment decisions.

b. Security Responsibility: Safeguarding your wallet, private keys, and NFT assets is your responsibility. Chronara AI is not liable for losses arising from failure to securely manage your digital assets, including loss of access to NFTs required for platform authentication.

c. Regulatory Compliance: Cryptocurrency and NFT laws vary across jurisdictions. It is your responsibility to comply with applicable regulations in your region, including UAE virtual asset regulations enforced by VARA, which may classify NFTs as virtual assets.

d. No Guarantees: Chronara AI does not guarantee the value, stability, or future performance of CHR tokens, NFTs, or the AI service platform.

e. Token and NFT Claiming Process: CHR tokens and NFTs purchased during the presale must be claimed using the same wallet used for the purchase. Due to mandatory KYC procedures (see Section 14), Chronara AI may facilitate token or NFT recovery in cases of wallet compromise, subject to verification and compliance with UAE AML/CFT laws. Loss of access to NFTs may restrict platform access if they are required for authentication.

f. NFT-Specific Risks: Chronara AI NFTs are used for gated authentication and may not have secondary market liquidity. Their utility is limited to the Chronara AI platform, and their value or functionality may be affected by platform updates, regulatory changes, or technical issues.

9. Limitation of Liability

Chronara AI, its developers, employees, and affiliated entities shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from your use of, or inability to use, https://chronara.ai, CHR tokens, or NFT authentication systems. This includes unauthorized access to or alteration of your transmissions, data, or NFTs, third-party conduct, or any other matter relating to the service.

The Chronara AI website is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement, except as required by UAE consumer protection laws (Federal Law No. 15 of 2020).

While we strive to provide secure and uninterrupted services, Chronara AI does not guarantee that https://chronara.ai, CHR token transactions, or NFT authentication systems will always be secure, error-free, or timely. Services may be temporarily suspended due to technical, maintenance, or operational issues. 12. Governing Law

  • a) You are not located in, under the control of, or a national or resident of any country where the trade or use of cryptocurrencies or NFTs is prohibited, including jurisdictions sanctioned by the UAE or international bodies (e.g., UN, OFAC).
  • b) You are not listed on any government-imposed restriction list prohibiting or restricting trade, such as the UAE Central Bank’s sanctions list.
  • c) Your use of the Chronara AI platform, CHR tokens, and NFT authentication systems complies with all applicable laws and regulations in your jurisdiction, including UAE virtual asset regulations enforced by VARA.

If your jurisdiction prohibits or restricts use of our services under these Terms, you must refrain from accessing the Chronara AI platform.

13. Token and NFT Classification

By engaging with the Chronara AI platform and transacting with the CHR token or Chronara AI NFTs, you acknowledge that:

  • a) CHR Token: The CHR token is classified as a utility token, designed for use within the Chronara AI platform to access AI services and functionalities. It is not intended to be a financial security or investment asset.
  • b) Chronara AI NFTs: The NFTs are classified as utility tokens or virtual assets under UAE law, used for gated authentication to access premium features or restricted areas of the Chronara AI platform. They are not intended to be financial securities or investment assets, though their regulatory treatment may vary by jurisdiction.

The classification and regulatory treatment of CHR tokens and NFTs vary by jurisdiction. Both are intended to operate within VARA’s virtual asset framework in the UAE, subject to compliance with applicable regulations. You are responsible for complying with laws in your jurisdiction regarding CHR token and NFT use. Chronara AI makes no representations or guarantees regarding their legal status in any jurisdiction.

14. Dubai-Specific KYC/AML Compliance

Chronara AI is committed to complying with UAE Federal Decree-Law No. 20 of 2018 on Anti-Money Laundering and Combating the Financing of Terrorism (AML/CFT) and anticipates adherence to Virtual Assets Regulatory Authority (VARA) requirements upon establishment in the Dubai Silicon Oasis free zone. Our KYC/AML Policy, available at https://chronara.ai, governs the following procedures:

a. Customer Identification and Verification

  • All users participating in the CHR token sale or acquiring Chronara AI NFTs must provide verifiable identification documents (e.g., Emirates ID, passport, proof of address) via our designated KYC provider.
  • Verification is conducted through UAE government portals (e.g., Emirates ID database) or trusted third-party services (e.g., uqudo, SumSub).
  • Users are screened against international sanctions lists (e.g., UN, OFAC), Politically Exposed Persons (PEP) lists, and adverse media databases.
  • NFT holders are subject to KYC verification to ensure compliance with platform access controls.

b. Customer Due Diligence (CDD)

  • CDD is mandatory for transactions ≥ AED 55,000 (~USD 15,000), including CHR token or NFT purchases, or for users from high-risk jurisdictions, as defined by the UAE Financial Intelligence Unit (FIU).
  • Enhanced Due Diligence (EDD) is applied for PEPs, non-face-to-face transactions, or users linked to high-risk activities, including verification of source of funds for NFT or token purchases.

c. Transaction Monitoring

  • CHR token and NFT transactions are monitored using blockchain analytics tools (e.g., Chainalysis, Elliptic) to detect suspicious activities, such as layering, rapid transfers, or unauthorized NFT transfers.
  • Large or unusual transactions are flagged for manual review by our AML Compliance Officer.

d. Suspicious Transaction Reporting

  • Suspicious activities are reported to the UAE FIU via the goAML platform within statutory timelines, as required by Article 17 of Federal Decree-Law No. 20 of 2018.

e. Record Keeping

  • KYC/AML records, including identification documents, transaction data, and NFT ownership records, are retained for a minimum of 5 years (or 8 years if required by VARA post-DSO establishment).

f. Biometric Verification

  • Where permitted, biometric verification (e.g., facial recognition) may be used to enhance KYC processes for token and NFT holders, in compliance with UAE PDPL requirements.

g. Compliance Officer

  • An AML Compliance Officer oversees KYC/AML procedures, ensures VARA readiness, and liaises with the UAE FIU and DSOA authorities.

Users failing to comply with KYC/AML requirements will be denied participation in the CHR token sale, acquisition of NFTs, or access to the platform, and their accounts may be suspended or terminated. Chronara AI reserves the right to freeze or return funds or NFTs suspected of being linked to illicit activities, in accordance with UAE law.
